| Terms and Conditions for Resellers |
Alert Systems Inc (or ASI), DBA NTE Hosting (or NTE) has extended special privileges to your organization which allow you to resell selected hosting plans at a discount. By using the service you agree to any / all terms and conditions which may apply.
1. You agree to serve as the technical contact for all your customers. You agree to learn and understand how the system operates and fix problems for your customers which ARE under your control.
2. You agree to be trained by an ASI/NTE rep, by phone on how to use your Reseller Control Center. You furthermore agree to keep copious notes on any training you receive on how to operate the system.
3. You agree to contact the ASI for support of your clients only after you have attempted to resolve your clients issues yourself with the tools provided. You agree that you will not ask the same "how to" questions to your designated support contact which were covered in your training or answered previously. You agree that asking the same questions more than once will be grounds for billable support at our prevailing support rate. Should the nature of your request be determined to be an issue outside of your control, ASI/NTE will not bill you to resolve the issue.
4. You agree that any support issues not resolvable by ASI/NTE directly, will be given 48-72 hours to allow ASI/NTE to escalate the support issue to the manufacturer support contact, to include but not be limited to Parallels Inc. (formerly SW Soft). You agree to have your customers trained in the use of (and use) trouble tickets for support whenever possible. If your customer contacts you by phone because they cannot access the troubleticket system, you agree to create a troubleticket on their behalf. Furthermore, you will use a troubleticket when contact ASI/NTE for support related questions, or escalated support issues from your clients.
5. You agree that ASI/NTE can review / increase your monthly quota at its sole discretion. Furthermore, if ASI/NTE finds that you violate any of these terms and conditions, we reserve the right to immediately terminate your reseller agreement.
6. You agree to NOT misrepresent the service offerings, any uptime guarantees or other facts regarding service plans, or service levels offered by ASI/NTE through this reseller arrangement.
7. You agree to be fully responsible for collecting any fees or past due amounts owed by clients who have not paid.
8. You agree to immediately inform ASI/NTE representatives of any misuse of your hosting plans.
9. You agree that you will instantly notify your customer(s) and intervene to stop to any activities which go against our acceptable usage policy, which includes; NOT sending spam, viruses, using the ASI/NTE network for activities illegal under US federal, state or local laws. You furthermore agree to save and hold harmless ASI/NTE and its owners from any liability arising from the use of our systems, or under your Reseller arrangement with us.
10. ASI/NTE reserves the right to modify, retract or re-write any part of our terms and conditions for resellers at any time, with or without notice to Reseller.
11. ASI/NTE reserves the right to refuse services to any reseller or resellers customers for any reason it sees fit.
12/ ASI/NTE reserves the right to terminate this agreement for any reason.
